Terms of Service
Plain English Summary
WorkWave provides software tools to help your business run payroll, file taxes, and manage operations. You own your data. We charge monthly or annually. We are not responsible for penalties if you enter incorrect data. Nigerian law governs any disputes. If something is unclear, email legal@workwave.ng — we are happy to explain.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer") and WorkWave Technology Limited, a company registered in Nigeria (RC-1234567) with its principal office at 14 Adeola Odeku Street, Victoria Island, Lagos ("WorkWave", "we", "us").
By creating an account, accepting these Terms during onboarding, or by using any part of the WorkWave platform, you agree to be bound by these Terms and our Privacy Policy.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, you must not accept these Terms or use the Services.
These Terms are governed by the laws of the Federal Republic of Nigeria. The Agreement is effective as of the date you first access or use the Services.
2. Description of Services
WorkWave provides a cloud-based business management platform designed for Nigerian small and medium enterprises. The Services include:
FINANCE & ACCOUNTING MODULE: Invoice management, accounts payable/receivable, bank reconciliation, financial reporting, and FIRS VAT computation tools.
HR & PAYROLL MODULE: Employee records management, payroll processing with PAYE, Pension (PenCom), NHF, and NSITF calculations, payslip generation, leave management, and recruitment pipeline tools.
CRM & SALES MODULE: Lead management, customer records, sales pipeline, and reporting tools.
COMPLIANCE MODULE: Automated generation of statutory returns and remittance schedules for FIRS, LIRS, PenCom, NSITF, NHF, and CAC.
AI BUSINESS INTELLIGENCE: AI-powered financial analysis and forecasting powered by the Anthropic Claude API.
We reserve the right to modify, add, or discontinue features at any time, with reasonable notice to existing customers.
3. Accounts & Access
ACCOUNT CREATION: You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the accuracy of your account information.
SECURITY: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@workwave.ng if you suspect unauthorised access.
AUTHORISED USERS: You may grant access to employees and contractors within your organisation ("Authorised Users"). You are responsible for ensuring Authorised Users comply with these Terms.
AGE REQUIREMENT: You must be at least 18 years old and have legal capacity to enter contracts under Nigerian law to use the Services.
ONE ACCOUNT PER BUSINESS: Each registered business entity may maintain one primary WorkWave account. Subsidiary companies and branches may be added under the same account depending on your plan.
4. Payment Terms
SUBSCRIPTION FEES: WorkWave charges subscription fees as described on our Pricing page. Fees are quoted in Nigerian Naira (₦) and do not include applicable taxes.
BILLING CYCLE: Subscriptions are billed monthly or annually in advance, based on your chosen plan. Annual subscriptions receive a discount equivalent to 10% of the monthly rate.
PAYMENT METHODS: Payment is processed through Paystack. We accept bank transfers, debit cards issued by Nigerian banks, and USSD payments.
AUTOMATIC RENEWAL: Subscriptions automatically renew at the end of each billing period unless you cancel at least 14 days before the renewal date.
LATE PAYMENT: Unpaid invoices accrue interest at the CBN Monetary Policy Rate plus 5% per annum. We may suspend access to the platform 14 days after a payment becomes overdue.
REFUNDS: We offer a full refund within 30 days of your initial subscription if you are not satisfied. No refunds are available for subsequent billing periods once services have been rendered, except where we materially fail to deliver the Services.
PRICE CHANGES: We will notify you at least 60 days in advance of any price increase. Price changes take effect at your next renewal date.
5. Acceptable Use
You agree to use the Services only for lawful business purposes and in accordance with these Terms.
YOU MAY NOT:
COMPLIANCE RESPONSIBILITY: While WorkWave automates the computation and preparation of statutory returns, you remain legally responsible for the accuracy of all data submitted to regulatory bodies and for the timely payment of all remittances. WorkWave is a tool that assists compliance — we do not accept liability for penalties arising from incorrect data entered by your team.
6. Your Data
OWNERSHIP: You own all data you input into WorkWave ("Customer Data"). We claim no intellectual property rights over Customer Data.
LICENCE TO PROCESS: By using the Services, you grant WorkWave a limited, non-exclusive licence to store, process, and transmit Customer Data solely as necessary to provide the Services and as described in our Privacy Policy.
DATA PORTABILITY: You may export your Customer Data at any time using the platform's export tools. On termination of your account, we will make Customer Data available for export for 90 days before deletion.
DATA PROCESSING AGREEMENT: For organisations subject to NDPA obligations, our Data Processing Agreement (DPA) is available at workwave.ng/dpa. The DPA forms part of these Terms for all enterprise customers.
AGGREGATED DATA: We may use anonymised, aggregated, non-identifiable data derived from your use of the Services to improve our platform and publish industry benchmarks, provided that such aggregated data cannot be used to identify you or any of your employees.
7. Intellectual Property
PLATFORM IP: WorkWave and its licensors own all intellectual property rights in the platform, including source code, user interfaces, documentation, algorithms, branding, and all content we create.
FEEDBACK: Any feedback, suggestions, or ideas you share about the Services may be used by us without restriction or compensation to you.
CUSTOMER CONTENT: You retain all ownership of content you upload, including company logos, documents, and reports you generate.
THIRD-PARTY COMPONENTS: The platform incorporates open-source software and third-party components, each governed by their respective licences. A list of third-party components is available on request.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY NIGERIAN LAW:
DISCLAIMER OF WARRANTIES: The Services are provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
LIMITATION ON DAMAGES: WorkWave's total liability to you for any claims arising out of these Terms or your use of the Services shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
EXCLUSION OF CONSEQUENTIAL DAMAGES: We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption — even if we have been advised of the possibility of such damages.
REGULATORY PENALTIES: WorkWave is not liable for penalties imposed by FIRS, LIRS, PenCom, or other regulatory bodies where such penalties result from your failure to remit funds on time, from incorrect data submitted by your team, or from changes in tax rates or regulations after our last platform update.
EXCEPTIONS: Nothing in these Terms limits liability for fraud, wilful misconduct, gross negligence, or death or personal injury caused by our negligence.
9. Term & Termination
TERM: These Terms commence when you create an account and continue until terminated.
TERMINATION BY YOU: You may cancel your subscription at any time through account settings. Cancellation takes effect at the end of the current billing period.
TERMINATION BY US: We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees after 30 days' notice, or engage in fraudulent or illegal activity using the Services.
EFFECT OF TERMINATION: Upon termination, your right to access the Services ceases. Customer Data will be available for export for 90 days after termination.
SURVIVAL: Sections on payment, IP, limitation of liability, and governing law survive termination.
10. Dispute Resolution
GOVERNING LAW: These Terms are governed by the laws of the Federal Republic of Nigeria.
INFORMAL RESOLUTION: Before initiating formal proceedings, you agree to attempt to resolve disputes informally by notifying us in writing at legal@workwave.ng. We will try to resolve the dispute within 30 days.
ARBITRATION: If informal resolution fails, disputes shall be resolved by binding arbitration in Lagos, Nigeria, under the Arbitration and Mediation Act 2023, before a single arbitrator agreed by both parties, or appointed by the Lagos Court of Arbitration.
COURTS: You consent to the jurisdiction of the Federal High Court and Lagos State High Court for matters that cannot be resolved by arbitration, or for injunctive relief.
CLASS ACTIONS: You waive any right to participate in class action lawsuits against WorkWave.
